Dmitry Stepanov is an expert in corporate law. For six years he has been leading the team working on amendments to the Federal Law “On Limited Liability Companies”, which are expected to become a reform of what is the most popular Russian business organization, the LLC. He is a member of working groups involved in development of a wide range of important bills in corporate law (“On Reorganization of Profit Companies”, “On amendments to the Federal Law “On Joint-Stock Companies”, “On Securities Market”, “On Insolvency/Bankruptcy”). He advised the Ministry of Economic Development of the Russian Federation and offered his expert assistance to the Property Committee of the State Duma in respect of the above bills. As a legal practitioner he was involved in a great number of corporate disputes representing his clients against hostile takeovers of their corporate assets, which later enabled him to coordinate a working group that was specially created to improve Russian procedure and civil regulations to reduce the number of corporate disputes (so called anti-raider bill). Furthermore, Dmitry is engaged in an EBRD project for drafting a Model Joint-Stock Law for the CIS countries (working group in the University of Bremen).
Dmitry authored two monographs and tens of publications on corporate law, securities market and law of obligations, economic analysis of law. Dmitry’s research has been recently focusing his research on the balance between the corporate law and parties’ discretion to define the terms of their contract, mutual impact of those provisions and liberalization of legal rules applicable to the corporate relations. Dmitry Stepanov advised UC RUSAL in relation to its IPO on the Hong Kong Stock Exchange. |
